Terms of Service

1. Overview

These Terms govern use of OZU Marketplace (“OZU”), operated by OZU Logistics Marketplace. OZU is a cross-border marketplace and acts as the merchant of record (MoR) for orders placed on OZU storefronts. By connecting a Shopify store to OZU (“Merchant”) or by purchasing through an OZU storefront (“Shopper”), you agree to these Terms.

2. The service

OZU generates a localized storefront for a Merchant’s connected catalog, presents pricing in local currencies (including OZU’s platform markup and applicable duties/shipping), processes shopper payments as merchant of record, places the corresponding order on the Merchant’s Shopify store, and arranges international fulfilment and tracking.

3. Merchant responsibilities

  • Maintain an active Shopify store and accurate product, inventory, and pricing data.
  • Fulfil orders OZU places, and provide accurate fulfilment/tracking information.
  • Ensure products are lawful to sell and ship to the destination markets.
  • Comply with the data protection agreement and applicable law.

4. Merchant of record

As MoR, OZU is the seller of record to the Shopper for orders placed on OZU storefronts and is responsible for the shopper-facing transaction, payment processing, and applicable tax/duty collection at checkout. The Merchant remains responsible for the goods, their fulfilment, and product compliance.

5. Pricing, fees & payouts

Shopper prices include OZU’s platform markup and estimated duties/shipping. OZU remits payouts to Merchants for their share of completed orders, net of OZU’s commission and any agreed fees, per the payout schedule communicated to the Merchant.

6. Shopper terms

  • Prices are shown in the selected local currency and are final at checkout.
  • Delivery times vary for cross-border shipments; customs duties/taxes are handled as disclosed at checkout.
  • Returns, refunds, and cancellations are handled per the policy shown at checkout.

7. Acceptable use

You may not misuse the service, attempt to breach its security, or use it for unlawful purposes. OZU may suspend access for violations.

8. Intellectual property

Merchants retain rights to their brand and product content and grant OZU a license to display and sell that content through OZU storefronts for the duration of the connection.

9. Disclaimers & liability

The service is provided “as is”. To the extent permitted by law, OZU is not liable for indirect or consequential damages. Nothing limits liability that cannot be limited by law.

10. Termination

A Merchant may disconnect at any time; OZU may suspend or terminate for breach. On termination, data is handled per the Privacy Policy and Data Retention Policy.

11. Changes

We may update these Terms and will revise the “Last updated” date.
